Board of Directors – Secretary


The board secretary serves as an active conduit for communications between board members, ensuring accurate and sufficient documentation of all board actions in order to meet legal requirements. This position is more than a job, you are a servant leader in a ministry.

Major Duties and Responsibilities:

  • Assist with board communications, scheduling, and distribution of materials
  • Accurate documentation and maintenance of board agendas, meetings minutes, actions, and activity
  • File and maintain accurate records of board minutes, official lists and other required documentation
  • Ensure all notices are duly given in accordance with the provision of the bylaws or as required by law
  • Provide support for board operations as requested
  • Documents attendance and confidentiality agreements annually from each board member
  • Ensures contact information is current 
  • Keeps up with everyone’s attendance, records and communicates completion of tasks to board chair or vice chair
  • Tracks board member’s terms
  • Assists with onboarding of new board members 
  • Ensures successful transition and onboarding for a new secretary


This volunteer position is performed in an environment of your choosing or most typically in an office-style environment

Position Description: The Secretary is a voting member of the board and is responsible for ensuring that accurate and sufficient documentation exists to meet legal requirements, and to enable authorized persons to determine when, how, and by whom the board’s business was conducted. In order to fulfill these responsibilities, and subject to the organization’s bylaws, the Secretary records minutes of meetings, ensures their accuracy, and availability, proposes policies and practices, submits various reports to the board, maintains membership records, fulfills any other requirements of a Director and Officer, and performs other duties as the need arises and/or as defined.
